CLEANSING NOTICE – SECTION 708A(5)(e) CORPORATIONS ACT 2001

31 August 2021: Environmental Clean Technologies Limited (ASX:ECT) ( Company or ECT ) gives this notice under section 708A(5)(e) of the Corporations Act 2001 (Cth) ( Act ).

On 30 August 2021, the Company issued 9,000,000 shares (ASX:ECT) ( New Shares ) and 3,000,000 options (ASX:ECTOE) ( New Options ). These New Shares and New Options were issued to Kaai Capital and/or their nominee(s) in lieu of cash payment for fees in relation to the placement to sophisticated and professional investors announced to the market on 7 April 2021 ( Placement ). This issue of New Shares and New Options was approved by shareholders under resolutions 7 and 8 at the Company’s extraordinary general meeting on 25 June 2021.

The New Shares and New Options will rank equally with all other shares and options on issue. The Company advises that:

  • (a) the New Shares and New Options issued pursuant to the Placement were issued without disclosure under Part 6D.2 of the Act;

  • (b) this notice is given under section 708A(5)(e) of the Act;

  • (c) as at the date of this notice, the Company has complied with:

    • (i) the provisions of Chapter 2M of the Act as they apply to the Company; and

    • (ii) section 674 of the Act;

  • (d) as at the date of this notice, the Company is considering a capital raising by way of an issue of promissory notes. No final position has yet been reached in relation to the quantity or terms of the capital raising.

  • (e) there is no further information that is “excluded information” within the meanings of sections 708A(7) and 708A(8) of the Act that is required to be set out in this notice under section 708A(6)(e) of the Act.
