CHAIRMAN'S ADDRESS TO THE 2006 ANNUAL GENERAL MEETING
Ladies and Gentleman, this is my first A.G.M as Chairman of your company. I joined the board in May and can I say it has been an extremely exciting and busy period until now and indeed an extremely busy period since the last AGM. As you are aware your company was under administration for approximately 12 months from Nov 2004 to Dec 2005. The company came out of administration in December 2005. It entered a period of consolidation and in May 2006, as part of the company's program to develop leading edge technologies it acquired the private company Asia Pacific Coal and Steel Pty Ltd. This company held the rights to 2 outstanding technologies, the Coldry coal dewatering process and the Matmor steel process.
Your company then entered a further period of consolidation to integrate APCS, shift its head office to Melbourne and most importantly continue the development and scale up of both the Coldry and Matmor processes. The Coldry and Matmor process have created enormous global interest in the Steel, Coal and Petro-chemical industries.
We have had approaches from major international groups including L.G of Korea, Boeshan Steel of India, Shen Hua Coal of China, amongst others, all of whom have requested a resumption of meetings once the Bacchus Marsh pilot plant up grade is completed in Feb/March. Mr. Danny Mills will present his CEO's report next, and he will bring you up to date with current status of these projects

ABN 28 009 120 405 I will also mention we have enjoyed considerable interest and support from both the Victorian State and Federal The Federal Governments Ausindustry Department is now directly introducing overseas Governments. companies to ESI and we have also received a \$240k R & D grant from the Victorian Government to develop the water harvesting from the Coldry process.
Your company also entered an MOU with VCR Pty Ltd, holders of the world's largest coal exploration licenses. That MOU is presently moving to a definitive agreement. We now enter 2007 with great enthusiasm.
Your company has completed what is always a difficult transition. From administration to normality. It has absorbed and integrated the acquisition of APCS. It has shifted it Head Office to Melbourne and most importantly it has engaged a CEO and operational team to commercialise the Coldry and Matmor technology. There is hardly a day goes by with out an article in the papers or on TV about Cleancoal technology, or CO2 emissions, indeed as holders of the domain name Cleancoal.com.au, we are thrilled that Cleancoal is now the generic terminology used by the Prime Minister and Premiers down to describe this sector. Your company is particularly well positioned and its absolute focus and direction is the commercialization of the Coldry and Matmor technologies. Your company has undertaken a formalized strategy planning sessions to further refine our business plan to take the company forward.
The commissioning of the Pilot Plant in March will see a new round of negotiations commence with interested parties, both nationally and internationally. We will naturally keep the market informed of this progress. We will also commence a new round of consultation with both the federal and Victorian governments who have shown great interest in our technologies and their potential impact on climate change.
I mentioned previously that a lot has been achieved in a relatively short period of 6 months. I cannot single everyone out, but behalf of the company, I would like particularly thank David Wilson, the developer of this technology, the Calleja Family, the original funders and Development Company, for their vision and faith and Mr. Pat Giles and the APCS team for their enormous contribution in 2006.

ABN 28 009 120 405 In closing ladies and gentlemen can I make a comment about the share price. This is unusual for a chairman's report but I think it is appropriate in these circumstances. There has been considerable volatility in the share price.
I note that rapid rises and falls have occurred on limited volumes. The price fluctuations have been driven unfortunately by speculation and day traders. This is totally understandable. As mentioned previously hardly a day passes without press comments on climate change and now the very use of our own domain name as the industry standard - CLEANCOAL. Our company has created interest in the market place. We are not a speculative stock.
We are a medium to long term investment stock in an area of major future economic benefit for Victoria, Australia and even the World. Ladies and gentlemen this is not a sprint, but a marathon.
In closing I thank you for your past and future support and on behalf of your board, I give you a clear undertaking to build shareholder value in your company.
