AMENDMENT OF COMPLETION DATE AND EXTENSION OF LONG STOP DATE OF ISSUE OF NEW SHARES UNDER GENERAL MANDATE

Reference is made to the announcement of Enterprise Development Holdings Limited (the “ Company ”) dated 30 September 2020 (the “ Announcement ”) relating to the Subscription. Unless the context requires otherwise, capitalized terms used in this announcement shall have the same meaning as those defined in the Announcement.

The Board announces that all the conditions of the Subscription Agreement have been fulfilled on 6 October 2020. Pursuant to the Subscription Agreement, Completion shall take place within 10 Business Days after the conditions precedent under the Subscription Agreement are fulfilled (i.e. 20 October 2020) or such other date as the Company and the Subscriber may agree.

Given that the Subscriber requires additional time for its funding arrangement, the Subscriber has requested for an extension of the Completion Date to on or before the Long Stop Date. In order to allow for more time for the Subscriber to arrange its fund, the Company and the Subscriber have entered into the supplemental agreement to the Subscription Agreement on 21 October 2020 (after trading hours), whereby the parties agreed to amend the Completion Date and extend the Long Stop Date from 3 November 2020 to 17 November 2020, or such other date as may be mutually agreed between the Company and the Subscriber.

Save and except for the aforesaid amendment of the Completion Date and extension of the Long Stop Date, all other terms and conditions of the Subscription Agreement remain unchanged and shall continue in full force and effect.
