ENEL RECEIVES MACQUARIE'S BINDING OFFER FOR 50% OF OPEN FIBER
Rome, September 17 th, 2020 – Enel S.p.A. ("Enel" or the "Company") announces that the Company's Board of Directors, which met today, chaired by Michele Crisostomo, received notice of a binding offer submitted yesterday by Macquarie Infrastructure & Real Assets ("MIRA") for the acquisition of the 50% stake held by Enel in Open Fiber S.p.A. The offer provides for the recognition of a consideration of approximately 2,650 million euros, net of debt, for the purchase of the aforementioned shareholding, with adjustment and earn out mechanisms. Enel's Board of Directors acknowledged that it received the notice and is awaiting updates on the details that may emerge following the required in-depth activities with MIRA on the content of the offer.
