CHAIRMAN’S ADDRESS – 2013 ANNUAL GENERAL MEETING

Good morning ladies and gentlemen.

I am Andrew McIlwain, the chairman of Emmerson Resources Limited (“Emmerson”) and I welcome you to the Company’s 2013 Annual General Meeting of Shareholders.

I will make a few short remarks before we move to the formal business of the meeting.

Over the past year Emmerson has continued to make significant progress, and whilst like many of our peers, this is not reflected in the share price, the team under the guidance of Rob have achieved a number of key outcomes that places your Company in favourable position for the future.

A mid-year review by external consultants – Professors Allan Trench and David Groves - commended the Emmerson team as “an industry best-practice exploration team deploying new generation exploration technologies and exploration models, with great potential to unlock a new generation of high grade gold and copper deposits. Emmerson has an outstanding management and technical team that is using a business framework to ensure the investment in exploration continues to provide good value for its shareholders. Together, these achievements represent an advanced level exploration capability to a standard seldom seen amongst junior companies”

Having this horsepower within the group provides us with a clear advantage in our exploration pursuits.

The negotiation led by Rob that has seen us regain of control of 100% of the Tennant Creek Mineral Field from the Ivanhoe joint venture has put us in an enviable position with the whole field now available to be explored with the key techniques that have led to the Goanna and Monitor and discoveries.

The resource upgrades announced this year, where over 100% increases in both gold and copper resources, is now at an impressive 800,000 oz gold equivalent.

The key objective moving forward is to secure the necessary finance to support a substantial exploration program in the Tennant Creek Mineral Field. To this end, we are currently engaged in advanced discussions with a number of parties, who having followed our story for some time are keen to participate as cornerstone investors.

Our focus remains the Tennant Creek Mineral Field and it is important to mention our role within the community in which we operate.

We respect the traditional ownership of the land and are keen to see appropriate and sympathetic development of the natural resources that lie under these lands.

Through our support of the Clontarf Foundation over the last 4 years we are now seeing young boys complete their schooling and move into the workforce as contributing individuals. This initiative, and cooperative engagement with the Central Lands Council, provides the transparent process which enables us to access our prospective targets. A key individual in this process is our Tennant Creek based Exploration Manager, Steve Russell. Steve has created a tremendous rapport and respect with the Traditional Owners and his efforts are to be applauded.

Similarly, the Northern Territory Government have been proactive in their support of Emmerson in many ways, including the recent hosting of an investment trip to Japan, South Korea and China. In addition, recognition of the way we conduct our business can be found in the Government’s granting of single project status over our many tenements that lessens the administrative burden.

The achievements of the team over the last year have received the support of our major shareholder, Stark, and this is noted in the overwhelming support of all resolutions in today’s meeting. Importantly, the reduction in Rob’s salary and suspension of director’s fees has met with approval and a second strike against the remuneration report will be avoided.

The information in this report relating to Exploration Results and Mineral Resources is based on information compiled by Mr Steve Russell who is a Member of the Australian Institute of Geoscientists and has sufficient exploration experience which is relevant to the style of mineralisation under consideration to qualify as a Competent Person as defined in the 2004 Edition of the ‘Australasian Code for Reporting of Exploration Results, Mineral Resources and Ore Reserves’.
