Revised Indicative Timetable for Scheme of Arrangement
Emmerson Resources Limited (Emmerson or the Company) (ASX: ERM) provides the following update on the proposed acquisition of 100% of the fully paid ordinary shares in Emmerson by Pan African Resources plc (Pan African) (via Tennant Consolidated Mining Group Pty Ltd (TCMG)) by way of a Court-approved scheme of arrangement (Scheme) under Part 5.1 of the Corporations Act 2001 (Cth). Capitalised terms used in this announcement have the meaning given to them in the Amended and Restated Scheme Implementation Deed released to ASX on 21 April 2026, unless otherwise specified.
Emmerson is pleased to advise that the draft Scheme Booklet, containing an independent expert's report in respect of the Scheme, has been lodged with the Australian Securities and Investment Commission for review.
Based on the lodgement of the draft Scheme Booklet with ASIC, below is a revised indicative timetable for the Scheme. The Company expects to be in a position to advise of an updated Scheme timetable after the first Court hearing for the Scheme.
