Emak: siglato l'accordo per l'acquisto del 30% di Cifarelli S.p.A.

Bagnolo in Piano (RE), 1 agosto 2016 - Emak S.p.A. (MTA, STAR) comunica che in data odierna ha firmato l'accordo per l'acquisto del 30% di Cifarelli S.p.A., con sede a Voghera (PV), società operante nella produzione e commercializzazione di macchine professionali per agricoltura e manutenzione del verde e delle piante quali atomizzatori, scuotitori per olive, soffiatori.

Cifarelli ha chiuso l'esercizio 2015 con vendite per € 12,4 milioni, un Ebitda adjusted intorno al 20% del fatturato e liquidità per circa € 3 milioni.

Il closing dell'operazione è previsto entro la fine dell'anno, una volta completate le formalità contrattuali.

Il prezzo pattuito per l'acquisizione della partecipazione del 30% è pari a € 3,750 milioni.

Sul residuo 70% sono state pattuite una call ed una put option da esercitarsi alla data di approvazione del bilancio al 31/12/2019, il cui prezzo di esercizio sarà in funzione dei risultati che verranno conseguiti dalla Cifarelli nel periodo 2017-2019. Con medesima ricorrenza ed in caso di mancato raggiungimento di determinati risultati minimi futuri, l'accordo prevede una put option a favore di Emak e una call option a favore della famiglia Cifarelli sulla quota del 30%.

Con la conferma della famiglia Cifarelli alla guida della società, l'operazione vede, quale aspetto fondante per la futura creazione di valore a beneficio di entrambe le parti, l'implementazione di un piano di sinergie di natura commerciale, produttivo e sviluppo di nuovi prodotti che Emak e Cifarelli hanno individuato ed intendono sviluppare con un piano di lavoro congiunto a partire dal closing.

Emak: signed the agreement for the purchase of 30% of Cifarelli S.p.A.

Bagnolo in Piano (RE), August 1, 2016 – Emak S.p.A. (MTA, STAR) announces that today has signed an agreement for the purchase of 30% of Cifarelli S.p.A., based in Voghera (PV), a company active in the production and marketing of professional machines for agriculture and gardening such as mistblower, olive shakers, blowers.

Cifarelli closed the year 2015 with sales of € 12.4 million, an adjusted EBITDA of around 20% of sales turnover and net cash of approximately € 3 million.

The closing of the deal is expected within the year, after completion of the contractual formalities. The price agreed for the acquisition of the 30% amounts to € 3.750 million.

On the remaining 70% were agreed a call option and a put option to be exercised on the date of approval of the financial statements at 31/12/2019, for which the exercise price will be based on the results that will be achieved by Cifarelli in the period 2017-2019.

At the same time and in case of failure to achieve the certain minimum future results, the agreement includes a put option in favor of Emak and a call option in favor of Cifarelli on the 30% stake.

With the confirmation of Cifarelli family to run the company, the transaction sees as fundamental aspect for future value creation for the benefit of both parties, the implementation of a plan of commercial, production and new products development synergies that Emak and Cifarelli have identified and intend to develop with a joint work plan starting from the closing date.
