This is a supplementary prospectus dated 30 July 2019 and was lodged with the Australian Securities and Investments Commission ( ASIC ) pursuant to Section 719 of the Corporations Act 2001 (Cth) on 30 July 2019 ( Supplementary Prospectus ). This Supplementary Prospectus supplements the prospectus dated 2 July 2019 ( Prospectus ) issued by Sayona Mining Limited ( Company ).

ASIC, ASX and their officers take no responsibility as to the contents of this Supplementary Prospectus. This Supplementary Prospectus shall be read in its entirety together with the contents of the Prospectus. If you are in any doubt as to the contents of this document, you should consult your professional advisers without delay.

Other than as set out below, all details in relation to the Prospectus remain unchanged. Terms used in this Supplementary Prospectus shall have the same meaning ascribed to them in the Prospectus.

1. Background

This Supplementary Prospectus has been prepared to update the Closing Date of the Offer of New Options under the Prospectus to no later than 5pm on Wednesday, 14 August 2019 (AEST). The Company makes amendments to the Prospectus as set out in Section 2, below.

2. Updates to Prospectus

2.1 Timetable

The Closing Date of the Offer has been extended to no later than 5pm on Wednesday 14 August 2019 (AEST) and the Offer timetable is therefore as follows:

Note: These dates are indicative only and subject to change. The Company has the right to vary these dates without notice, including to close the Offer early or accept late Applications, either generally or in particular cases.

This Supplementary Prospectus has been signed by a Director of Sayona Mining Limited with the authority of each of the Directors and is dated 30 July 2019.
