Notice under section 708A(5)(e) of the Corporations Act 2001 (Cth)

Elevra Lithium Limited (ACN 091 951 978) (ASX: ELV) (Company or Elevra) gives notice under section 708A(5)(e) of the Corporations Act 2001 (Cth) (Corporations Act) that:

(a) Elevra has today issued:

(i) 22,540,984 fully paid ordinary shares (Shares) pursuant to the placement announced on 12 May 2026 (Placement) without disclosure to investors under Part 6D.2 of the Corporations Act. The Placement Shares were issued at an issue price of A$12.20 per Share; and

(ii) 566,776 Shares to Lithium Offtake Inc. (LO Inc.) pursuant to a termination and release agreement in respect of an offtake agreement (which was between Sayona North Inc. (a wholly owned subsidiary of Elevra) and Lithium Royalty Corp dated 15 October 2021, and assigned to LO Inc. on 12 March 2023).

(b) As at the date of this notice, Elevra:

(i) has complied with the provisions of Chapter 2M of the Corporations Act as they apply to Elevra;

(ii) has complied with sections 674 and 674A of the Corporations Act; and

(iii) is not aware of any information that may be "excluded information" within the meaning of sections 708A(7) and 708A(8) of the Corporations Act which is required to be disclosed under section 708A(6)(e) of the Corporations Act.

This notice has been authorised for release to ASX by the Company's Board of Directors.
