Reference is made to the stock exchange announcement on 29 February 2024 regarding the share capital increase resolved by the General Meeting of Elektroimportøren AS ("Elektroimportøren" or the "Company").
The following close associates of primary insiders have today subscribed for new shares in the Company:
• ACapital ELIMP HoldCo AS, a company closely associated with chairperson Vegard Søraunet and board member Gaute Gillebo, has subscribed for 4,905,439 new shares, and will following the transaction hold 11,474,362 shares (24.5%) in the Company. ACapital ELIMP HoldCo AS is currently owned approximately 80% by WQZ Investment Group Ltd and approximately 20% by Aeternum Capital AS;
• Aeternum Capital AS, a company closely associated with chairperson Vegard Søraunet and board member Gaute Gillebo, has subscribed for 2,000,000 new shares, and will following the transaction hold 2,000,000 shares (4.3%) in the Company;
• Niss Invest AS, a company closely associated with CEO Andreas Niss, has subscribed for 53,333 new shares, and will following the transaction hold 635,365 shares (1.4%) in the Company;
• J. Wist Holding AS, a company closely associated with CFO Jørgen Wist has subscribed for 26,666 new shares, and will following the transaction hold 173,088 shares (0.4%) in the Company;
• Stenshagen Invest AS, a company closely associated with board member Kjetil Garstad, has subscribed for 1,123,393 new shares, and will following the transaction hold 2,627,741 shares (5.6%) in the Company; and
• Steel City AS, a company closely associated with board member Kjetil Garstad has subscribed for 266,666 new shares, and will following the transaction hold 266,666 shares (0.6%) in the Company.
The transactions took place on 29 February 2024 at a price per share of NOK 7.50.
Elektroimportøren refers to the attached notifications for persons discharging managerial responsibilities in the company in accordance with Regulation EU 596/2014 (MAR) article 19.
