Sub: Submission of Notice of 37[th] Annual General Meeting
Pursuant to Regulation 34(1) of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, please find attached herewith a Notice of 37[th] Annual General Meeting to be held on Wednesday, 9[th] August, 2023 at 11:00 a.m. through Video Conferencing / Other Audio Visual Means (VC/OAVM), which is being sent to the members through electronic means as per the circulars of the Ministry of Corporate Affairs and the Securities and Exchange Board of India.
The remote e-voting period for 37[th] Annual General Meeting will commence from Sunday, 6[th] August, 2023 at 9:00 a.m. and will end on Tuesday, 8[th] August, 2023 at 5:00 p.m. No remote e-voting shall be allowed beyond the said date and time. During this period, Members of the Company, holding shares either in physical form or in dematerialized form, as on the cut-off date i.e. Wednesday, 2[nd] August, 2023 may cast their vote electronically. Detailed procedure for remote e-voting is provided in the Notice of the 37[th] Annual General Meeting.

NOTICE is hereby given that the 37[th] Annual General Meeting of Members of Electrotherm (India) Limited will be held on Wednesday, 9[th] August, 2023 at 11.00 a.m. through Video Conferencing / Other Audio Visual Means (VC/OAVM) to transact the following business:
ORDINARY BUSINESS:

To consider and adopt audited standalone and consolidated financial statements of the Company for the financial year ended on 31[st] March, 2023 together with report of Board of Directors and Auditors’ Report thereon.

To appoint a Director in place of Mr. Shailesh Bhandari (DIN: 00058866), who retires by rotation at this Annual General Meeting and being eligible, offers himself for re-appointment.
SPECIAL BUSINESS:
- To ratify the remuneration of the Cost Auditor for the financial year ending on 31[st] March, 2024:
To consider and if thought fit, to pass, with or without modification(s), the following resolution as an Ordinary Resolution:
“RESOLVED THAT pursuant to the provisions of Section 148 and all other applicable provisions, if any, of the Companies Act, 2013 read with the Companies (Audit and Auditors) Rules, 2014 and Companies (Cost Records and Audit) Rules, 2014 (including any statutory modification(s) or re-enactment(s) thereof for the time being in force), the consent of the members be and is hereby accorded to ratify the remuneration, decided by the Board of Directors on the recommendation of the Audit Committee, of Rs. 2,00,000 (Rupees Two Lakhs Only) to M/s V. H. Savaliya & Associates, Cost Accountants (Membership No.13867) for conducting the audit of cost records of the Company for the financial year ending on 31[st] March, 2024.”

“RESOLVED THAT pursuant to the provisions of Sections 149, 150, 152 and other applicable provisions, if any, of the Companies Act, 2013 (“the Act”) read with Schedule IV of the Act and the Companies (Appointment and Qualification of Directors) Rules, 2014 (including any modification(s) or reenactment thereof for the time being in force) and Regulation 17 and other applicable provisions of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (“Listing Regulations”), Ms. Nivedita R. Sarda (DIN: 00938666), who was appointed as an Independent Director up to 24[th] May, 2023 and who is eligible for re-appointment and who meets the criteria of independence as provided in Section 149(6) of the Act along with the Rules framed thereunder and Regulation 16(1)(b) of Listing Regulations and who has submitted a declaration to that effect and in respect of whom the Company

- In view of the COVID-19 pandemic, the Ministry of Corporate Affairs (“MCA”) has vide its circular nos. 14/2020 and 17/2020 dated 8[th] April, 2020 and 13[th] April, 2020, respectively, in relation to “Clarification on passing of ordinary and special resolutions by companies under the Companies Act, 2013 and rules made thereunder on account of the threat posed by Covid-19” and circular nos. 20/2020, 02/2021, 19/2021, 21/2021, 02/2022 and 10/2022 dated 5[th] May, 2020, 13[th] January, 2021, 8[th] December, 2021, 14[th] December, 2021, 5[th] May, 2022 and 28[th] December, 2022 respectively in relation to “Clarification on holding of Annual General Meeting (AGM) through Video Conferencing (VC) or Other Audio-Visual Means ( OAVM )” (collectively referred to as ‘MCA Circulars’) permitted the Companies whose AGMs are due in the year 2023, to conduct their AGMs on or before 30[th] September, 2023 through VC / OAVM, without the physical presence of the members at a common venue and also provided relaxation from dispatching of physical copies of Notice of AGM and financial statements for the year 2022-2023 and considering the above MCA Circulars, Securities and Exchange Board of India (SEBI) vide its circular no. SEBI/HO/CFD/PoD-2/P/CIR/2023/4 dated 5[th] January, 2023 in relation to “Relaxation from compliance with certain provisions of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015” (‘SEBI Circular’) provided relaxation up to 30[th] September, 2023, from Regulation 36(1) (b) of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (‘SEBI Listing Regulations’) which requires sending hard copy of the Annual Report containing salient features of all the documents prescribed in Section 136 of the Companies Act, 2013 (‘Act’) to the shareholders who have not registered their email addresses. In compliance with the MCA Circulars and SEBI Circular, the 37[th] AGM of the Company is being conducted through VC/OAVM, which does not require physical presence of Members at a common venue. Hence, members can attend and participate in the 37[th] AGM through VC/OAVM only.

NOTICE

Pursuant to the above mentioned MCA Circulars and SEBI Circular, the facility to appoint proxy to attend and cast vote for the members is not available for this AGM.

A body corporate intending to send their authorized representative(s) to attend the Meeting pursuant to Section 113 of the Companies Act, 2013 are requested to send to the Company, a certified copy of resolution of the Board of Directors or other governing body authorizing such representative(s) to attend and vote on their behalf at the Meeting.

The attendance of the Members attending the AGM through VC/OAVM will be counted for the purpose of reckoning the quorum under Section 103 of the Companies Act, 2013.

The Members can join the AGM in the VC/OAVM mode 15 minutes before and after the scheduled time of the commencement of the Meeting by following the procedure mentioned in the Notice. The facility of participation at the AGM through VC/OAVM will be made available for 1000 members on first come first served basis. This will not include large Shareholders (Shareholders holding 2% or more shareholding), Promoters, Institutional Investors, Directors, Key Managerial Personnel, the Chairpersons of the Audit Committee, Nomination and Remuneration Committee and Stakeholders Relationship Committee, Auditors etc. who are allowed to attend the AGM without restriction on account of first come first served basis.

An Explanatory Statement pursuant to Section 102(1) of the Companies Act, 2013 relating to special business in respect of Item No. 3 and 4 of the Notice to be transacted at the AGM is annexed hereto.

There is no money lying to unpaid / unclaimed dividend account pertaining to any of the previous years with the Company. As such the Company is not required to transfer such amount to the Investor Education and Protection Fund established by the Central Government.

In terms of Investor Education and Protection Fund (Uploading of information regarding unpaid and unclaimed amounts lying with companies) Rules, 2012, Company has uploaded the data regarding unpaid/unclaimed dividend for the last seven years on the website of the Company www.electrotherm.com as well as website of the Investor Education and Protection Fund Authority, Ministry of Corporate Affairs (MCA) www.iepf.gov.in.

In compliance with the above mentioned MCA Circulars and SEBI Circular, Notice of the 37[th] AGM, Annual Report and instruction for e-voting are being sent to the members through electronic mode whose email addresses are registered with the Company/Depository Participant(s). The copy of Notice of 37[th] AGM and Annual Report will also be available on the website of (i) the Company at www.electrotherm.com (ii) the BSE Limited (BSE) at www.bseindia.com and National Stock Exchange of India Limited (NSE) at www.nseindia.com and (iii) Central Depository Services (India) Limited (CDSL) at www. evotingindia.com.

In compliance with the provisions Section 108 of the Companies Act, 2013 read with Rule 20 of the Companies (Management and Administration) Rules, 2014 and Regulation 44 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 and above mentioned MCA Circulars, the members are provided with the facility to cast their vote by electronic means through the remote e-voting or through e-voting on the date of AGM, by using the platform provided by CDSL and the business may be transacted through such voting. The process for electronically voting is mentioned herein below.

The Voting rights of members shall be in proportion to their shares of the paid-up equity share capital in the Company as on cut-off date i.e. Wednesday, 2[nd] August, 2023.

Any person, who acquires shares of the Company and becomes a member of the Company after dispatch of the Notice and holding shares as on cut-off date may cast vote after following the instructions for e-voting as provided in the Notice convening the Meeting, which is available on the website of the Company and CDSL. However, if you are already registered with CDSL for remote e-voting then you can use your existing User ID and password for casting your vote.

Mr. Arvind Gaudana, Senior Partner or failing him Mr. Bhavya Gaudana, Partner of M/s Gaudana & Gaudana, Practising Company Secretary has been appointed as the Scrutinizer to scrutinize the electronically voting (remote e-voting or voting at AGM through electronically) process in a fair and transparent manner.

The Scrutinizer’s decision on the validity of the vote shall be final.

Once the vote on a resolution stated in this notice is cast by Member through remote e-voting, the Member shall not be allowed to change it subsequently and such vote cast through remove e-voting shall be treated as final. The Members who have cast their vote by remote e-voting may also attend the AGM through VC/OAVM, however such Member shall not be allowed to vote again during the AGM.

After completion of the scrutiny of the e-voting, the Scrutinizer will submit a consolidated Scrutinizer’s Report of the total votes cast in favour or against, if any, to the Chairman of the AGM or a person authorised by the Chairman, not later than three days from the conclusion of the AGM. The Chairman or a person authorised by him in writing shall declare the result of the voting forthwith.

The result declared along with the Scrutinizer’s Report shall be placed on the Company’s website www.electrotherm.com. The Company shall simultaneously forward the result to BSE, NSE and CDSL.

The Resolutions shall be deemed to be passed on the date of the AGM conducted through VC/OAVM, subject to receipt of the requisite number of votes in favour of the Resolutions.

The AGM will be held through VC/OAVM in accordance with the MCA Circulars, the route map, proxy form and attendance slip are not attached to this Notice.

(a) For Physical shareholders - please provide necessary details like Folio No., Name of shareholder, scanned copy of the share certificate (front and back), PAN (self attested scanned copy of PAN card), AADHAR (self attested scanned copy of Aadhar Card) by email to Company/RTA email id.

(b) For Demat shareholders - Please update your email id & mobile no. with your respective Depository Participant (DP).

(c) For Individual Demat shareholders - Please update your email id & mobile no. with your respective Depository Participant (DP) which is mandatory while e-Voting & joining virtual meetings through Depository.

Members may please note that SEBI vide its Circular No. SEBI/ HO/MIRSD/MIRSD_ RTAMB/P/CIR/2022/8 dated January 25, 2022 has mandated the listed companies to issue securities in dematerialized form only while processing service requests viz. Issue of duplicate share certificate; renewal/ exchange of share certificate; endorsement; sub-division/splitting of share certificate; consolidation of share certificates/folios; transmission and transposition. Accordingly, Members are requested to make service requests by submitting a duly filled and signed Form ISR – 4, the forms which are available on the website of RTA i.e. Link Intime India Private Limited at www. linkintme.co.in. It may be noted that any service request can be processed only after the folio is KYC Compliant.

Members holding shares in physical form, in identical order of names, in more than one folio are requested to send to the Company or RTA, the details of such folios together with the share certificates along with the requisite KYC Documents for consolidating their holdings in one folio. Requests for consolidation of share certificates shall be processed in dematerialized form only.

SEBI has mandated submission of PAN by every participant in the securities market. Members holding shares in electronic form are, therefore, requested to submit their PAN details to their depository participants. Members holding shares in physical form are requested to submit their PAN details to the Company’s RTA.

As per the provisions of Section 72 of the Act and SEBI Circular, the facility for making nomination is available for the Members in respect of the shares held by them. Members who have not yet registered their nomination are requested to register the same by submitting Form No. SH-13. If a Member desires to opt out or cancel the earlier nomination and record a fresh nomination, he/ she may submit the same in Form ISR-3 or SH-14 as the case may be. The said forms can be downloaded from the website of RTA i.e. Link Intime India Private Limited at www.linkintme.co.in. Members are requested to submit the said details to their DP in case the shares are held by them in dematerialized form and to RTA in case the shares are held in physical form.
PROCESS AND MANNER FOR VOTING BY ELECTRONIC MEANS (E-VOTING):

In compliance with Section 108 of the Companies Act, 2013 and Rule 20 of the Companies (Management and Administration) Rules, 2014, as substituted by the Companies (Management and Administration) Amendment Rules, 2015 (‘Amended Rules 2015’) and Regulation 44 of SEBI Listing Regulations and in terms of SEBI Circular no. SEBI/HO/CFD/CMD/ CIR/P/2020/242 dated December 9, 2020 in relation to “E-voting facility provided by Listed Entities” and Secretarial Standards on General Meetings (SS2) issued by the Institute of Company Secretaries of India read with MCA Circulars and SEBI Circular, the Company is providing remote e-Voting facility to its Members in respect of the business as set forth in the accompanying Notice of AGM to be transacted at the 37[th] AGM and facility for those Members participating in the 37[th] AGM through VC/ OAVM to cast vote through e-Voting during the 37[th] AGM through e-Voting services provided by Central Depository Services (India) Limited (CDSL).
The cut-off date for the purpose of remote e-voting and e-voting at the AGM shall be Wednesday, 2[nd] August, 2023. Please note that members can opt for only one mode of voting i.e. either by e-voting at the meeting or remote e-voting. If Members opt for remote e-voting, then they should not vote at the Meeting and vice versa. However, once an e-vote on a resolution is cast by a Member, such Member is not permitted to change it subsequently or cast the vote again.

- (i) The remote e-voting period begins on Sunday, 6[th] August, 2023 (9.00 a.m. IST) and ends on Tuesday, 8[th] August, 2023 (5.00 p.m. IST). (ii) A person who is not a Member as on the cut-off date should treat this Notice of 37[th] AGM for information purpose only.

(iii) The members who have casted their vote by remote e-voting prior to the meeting may also attend the meeting through VC/OAVM but shall not be entitled to cast their vote again.

(iv) Pursuant to SEBI Circular No. SEBI/HO/CFD/CMD/ CIR/P/2020/242 dated December 9, 2020 and Regulation 44 of SEBI Listing Regulations, listed entities are required to provide remote e-voting facility to its shareholders, in respect of all shareholders’ resolutions. However, it has been observed that the participation by the public non-institutional shareholders/retail shareholders is at a negligible level.
Currently, there are multiple e-voting service providers (ESPs) providing e-voting facility to listed entities in India. This necessitates registration on various ESPs and maintenance of multiple user IDs and passwords by the shareholders.
- In order to increase the efficiency of the voting process, pursuant to a public consultation, it has been decided to enable e-voting to all the demat account holders, by way of a single login credential, through their demat accounts/ websites of Depositories/ Depository Participants. Demat account holders would be able to cast their vote without having to register again with the ESPs, thereby, not only facilitating seamless authentication but also enhancing ease and convenience of participating in e-voting process.

(v) In terms of SEBI circular no. ANNEXURE TO THE NOTICE
EXPLANATORY STATEMENT PURSUANT TO SECTION 102(1) OF THE COMPANIES ACT, 2013:
ITEM NO. 3:
The Board of Directors of the Company at their adjourned Meeting held on 27[th] May, 2023 in continuation of Meeting held on 24[th] May, 2023, on the recommendation of the Audit Committee, approved the appointment and remuneration of M/s. V. H. Savaliya & Associates, Cost Accountants (Membership No.13867), Ahmedabad, to conduct the audit of the cost accounting records of the Company for the financial year ending on 31[st] March, 2024 at a remuneration of Rs.2,00,000/- (Rupees Two Lacs Only).
In accordance with the provisions of Section 148(3) of the Companies Act, 2013 read with the Companies (Audit and Auditors) Rules, 2014 and Companies (Cost Records and Audit) Rules, 2014 (including any statutory modification(s) or re-enactment(s) thereof for the time being in force), the remuneration payable to the Cost Auditor is required to be ratified by the Members of the Company.
Accordingly, consent of the Members is sought for approving the Ordinary Resolution as set out in Item No. 3 of the Notice for ratification of the remuneration payable to the Cost Auditor for the financial year ending on 31[st] March, 2024.
The resolution as set out in Item no. 3 of this Notice is accordingly recommended for your approval.
None of the Directors, Key Managerial Personnel of the Company or their relatives are, in any way, concerned or interested, financially or otherwise in the said resolution.
ITEM NO. 4:
Ms. Nivedita R. Sarda (DIN: 00938666) was appointed as an Independent Director on the Board of the Company as per recommendation of the Nomination and Remuneration Committee Meeting held on 25[th] May, 2018 and approved by the Board of Directors at their meeting held on 25[th] May, 2018. Further the shareholders at the 32[nd] Annual General Meeting held on 28[th] September, 2018 approved her appointment for a first term of 5 (five) years from 25[th] May, 2018 up to 24[th] May, 2023 (“first term”) in line with the explanation to Section 149(10) and 149(11) of the Act.
The Board of Directors at its meeting held on 24[th] May, 2023, taking into account the recommendation of the Nomination and Remuneration Committee and based on the skills, experience, knowledge and report of her performance evaluation, approved the re-appointment of Ms. Nivedita R. Sarda (DIN: 00938666) as an Independent Director of the Company not liable to retire by rotation, for a “second term” of 5 (five) years from 25[th] May, 2023 up to 24[th] May, 2028. Her re-appointment is subject to the approval of the Shareholders at the 37[th] AGM by passing a Special Resolution.
Pursuant to the provisions of the Companies Act, 2013 and SEBI Listing Regulations, an Independent Director shall hold office for a term up to five consecutive years on the Board of the Company and shall be eligible for re-appointment on passing of a Special Resolution by the Company and disclosure of such appointment in the Board Report.
Section 149 of the Act and provisions of SEBI Listing Regulations inter alia prescribe that an Independent Director of a company shall meet the criteria of independence as provided therein. The Company has received declaration from Ms. Nivedita R. Sarda (DIN: 00938666) that she meet with the criteria of independence as prescribed both under Section 149(6) of the Act and under the SEBI Listing Regulations.
In the opinion of the Board, Ms. Nivedita R. Sarda (DIN: 00938666) fulfils the conditions specified in the Companies Act, 2013 and Rules made thereunder and SEBI Listing Regulations for her reappointment as an Independent Director of the Company and is independent of the management. In terms of Regulation 25(8) of SEBI Listing Regulations, she has confirmed that she is not aware of any circumstances or situation which exists or may be reasonably anticipated that could impair or impact her ability to discharge her duties as an Independent Director.
Ms. Nivedita R. Sarda (DIN: 00938666) is not disqualified from being appointed as Director in terms of Section 164 of the Companies Act, 2013 and in terms of SEBI Circular dated 20[th] June, 2018, she is not debarred from holding the office of Director by virtue of any SEBI Order or any other such authority.
The Board considers that her continued association would be benefit to the Company as it has been beneficial in the past and it is desirable to avail services of Ms. Nivedita R. Sarda (DIN: 00938666) as an Independent Director. Accordingly, the Board recommends the resolution for the approval by the shareholders in relation to re-appointment of Ms. Nivedita R. Sarda (DIN: 00938666) as an Independent Director of the Company, not liable to retire by rotation and to hold office for a second term of 5 (five) years from 25[th] May, 2023 up to 24[th] May, 2028 on the Board of the Company.
Details of Director, whose re-appointment as Independent Director is proposed at Item No. 4, is provided in the “Annexure” to the Notice pursuant to the provisions of SEBI Listing Regulations and Secretarial Standard on General Meetings (“SS-2”) issued by the Institute of Company Secretaries of India.
Save and except, Ms. Nivedita R. Sarda (DIN: 00938666) and her relatives, to the extent of their shareholding interest, if any, in the Company, none of the other Directors / Key Managerial Personnel and their relatives are in any way, concerned or interested, financially or otherwise, in the Resolution set out at Item No.4.
This statement may also be regarded as an appropriate disclosure under the SEBI Listing Regulations. The Board with majority recommends the Special Resolution set out at Item No.4 of the Notice for approval by the members.

He is associated with the Company since its incepton as its Director and he had contributed immensely to the growth of the business of the Company. Due to his business acumen and foresight, the Company was able to arrive at setlement at appropriate tme with various lenders at sustainable level. The Company had entered into setlement terms with 18 out of 19 lenders / ARC / fnancial insttutons including full repayment of setlement amounts to 6 (six) banks / fnancial insttutons. During June 2022, due to his contnuous and persistent approach, the Company was able to arrive at setlement with Central Bank of India at appropriate tme and come out of the clutches of the proposed Corporate Insolvency Resoluton Process (CIRP) under the Insolvency and Bankruptcy Code, 2016. Under his able leadership and guidance, the Company is hopeful to arrive at setlement with remaining one lender also. He had maintained cordial relatonship with all the lenders, asset reconstructon companies, fnancial insttutons and all the stakeholders for long term sustainability. Mr. Shailesh Bhandari has led the marketng initatves at Electrotherm over the last more than 35 years. He has been primarily responsible for building and sustaining a very strong and large customer base for various products of the Company. Due to his persistent approach towards brand identty, the Company was successful to penetrate the products of the Company at natonal and internatonal level including recogniton with various government organizatons. |
