Sub : Disclosure in terms of Regulation 31(4) of the SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011 for the financial year ended on 31st March, 2026

Pursuant to Regulation 31(4) of the SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011, I, Mukesh Bhandari (), Promoter of Electrotherm (India) Limited (BSE Company Code: 526608 and NSE Company Code: ELECTHERM), the Target Company, hereby declare that I, along with persons acting in concert (PAC) (*) has not made any encumbrance on the shares, directly or indirectly, other than those already disclosed during the financial year ended on 31st March, 2026.

Note:

• As per the Family Settlement Agreement ("FSA") executed amongst 'Mukesh Bhandari Family' and 'Shailesh Bhandari Family' on 29th March, 2025, I will transfer my 8,09,500 equity shares (representing 6.35%) of Electrotherm (India) Limited to Mr. Shailesh Bhandari, upon fulfilment of terms and conditions of FSA. Further, I have executed voting agreement and other documents, in favour of Mr. Shailesh Bhandari, pursuant to FSA. Further, Mode of transfer of shares will be off market inter-se transfer. Further, the process of actual transfer of 8,09,500 equity shares to Mr. Shailesh Bhandari will be completed after my said shares are free from attachment / freezing / encumbrance.

** Pursuant to the FSA, Mrs. Jyoti Bhandari has executed gift deed on 29th March, 2025, for transfer of 2,01,525 equity shares of Electrotherm (India) Limited, to Mrs. Reema Bhandari. Actual transfer of the said equity shares from Mrs. Jyoti Bhandari to Mrs. Reema Bhandari are under process.
