DIRECTOR RETIREMENT

Walter Johnson, a director on the Board of FCL since 21 December 1981, has advised his intention not to stand for re-election at the Company’s AGM, to be held on Tuesday 23 October 2007. He will retire from the Board at the close of that meeting.

FCL listed on the Australian Securities Exchange on 30 June 1981 and Mr Johnson was appointed shortly after on 12 December 1981. During his directorship the Company’s market capitalisation has grown from approximately $3 million in 1981 to $1.7 Billion today having evolved from a successful supplier of rail components in 1981 to become today, Australia’s leading diversified agricultural Company.

During Mr Johnson’s period of service, the Company, through timely market acquisitions and divestments, has participated successfully in the following sectors - automotive (both locally and internationally), brick manufacturing, farm inputs supply, commercial and residential property development, beef cattle production, financial services, fertiliser production, forestry and timber and more recently, telecommunications. With strong financial skills, a thorough understanding of business management and considerable experience in the agribusiness sector, Mr Johnsons’s wise counsel during periods of substantial change has been greatly appreciated by his fellow Board members.

Mr Johnson also serves on the Company’s Audit Committee and will retire from the Committee on 23 October 2007.

The Board would like to thank Mr Johnson for his 26 years of outstanding service to the Company.
