Sub: Clarification - Appointment of a Director

Dear Sir/Madam,

Please refer to your email dated 30[th] August 2019 seeking clarification on the disclosure filed by the Company on 27[th] August 2019 relating to appointment of Mr. Sanjay Gopal Bhatnagar as a Non-executive Independent Director.

In this connection we wish to clarify that, in the said disclosure filed on 27[th] August 2019, we have disclosed appointment of Mr. Sanjay Gopal Bhatnagar as a Non-executive Independent Director. This disclosure is not for resignation of any Director, including, Mr. S.K Dasgupta. No Director resigned during the period from 1.4.2019 till the date of the above disclosure.

Mr. S.K. Dasgupta resigned long time back in the month of March 2019 for which necessary disclosure was filed on 28[th] March 2019 i.e. before the commencement of amended listing regulation which was made effective from 1[st] April 2019. Mr. Sanjay Gopal Bhatnagar has been appointed in the casual vacancy caused due to resignation of Mr. S.K. Dasgupta.

Mr. Sanjay Gopal Bhatnagar has been appointed for a term of 5 (five) years with effect from 27[th] August 2019.
