Notifications of a change inthe total number of votes and signing of the final share purchaseagreement relating to the acquisition of 100% of the shares in themajority shareholder ofEchoInvestment S.A.

With relation to the current report no. 37/2019, theManagement Board of Echo Investment S.A. (the Company) hereby reportsthat today the Company received notificationspursuantto Article 69 et seq. of the Act of 29 July 2005 on the Public Offer andthe Conditions for Introducing Financial Instruments to the OrganizedTrading System and Public Companies (the "Notifications")from(i) Echo Partners B.V. with its registered seat atBarbaraStrozzilaan 201, 1083HN,Amsterdam, theNetherlands (Seller), (ii) WING IHC Zrt with its registered seat at 1095Budapest, Máriássy utca 7, Hungary (Buyer), (iii) WINGHOLDING Zrt. withits registered seat at 1095 Budapest, Máriássy utca 7, Hungary, (iv)Dayton-Invest Kft. with its registered seat at Honvéd u. 20, 1055Budapest, Hungary and (v) Mr. Tibor Veres with its delivery address atHonvéd u. 20, 1055 Budapest, Hungary,informingthat on 12 December 2019, the Sellerand the Buyer entered into a final share purchase agreement relating to100% of the shares in the majority shareholder of the Company, Lisalasp. z o.o. holding, according to the Notifications, 230,930,856 sharesin the Company constituting 55.96% of the share capital of the Company(Transaction).
