Meeting Notice for the 2026 Annual Shareholders' Meeting

The 2026 Annual Shareholders' Meeting (the "Meeting") of EXCEL CELL ELECTRONIC CO., LTD. (the "Company") will be convened at 9:00 a.m. Friday, May 29, 2026 at No. 20, Gongyequ 25th Rd., Nantun District, Taichung City.

The shareholders' registration will begin at 8:30 a.m. and the place of registration is the same as the meeting location.

The agenda for the Meeting is as follows:

1. Report Matters:
   (1) 2025 Employees' and Directors' Remuneration Distribution Statement.
   (2) 2025 Business Report.
   (3) Audit Committee's Review Report.
   (4) Distribution of cash dividends from the 2025 earnings.
   (5) Report on Directors' Remuneration.
   (6) Report on the execution of the first share buyback (treasury stocks) in 2025.
   (7) Report on the execution of the second share buyback (treasury stocks) in 2025.

   (1) Ratification of the 2025 Business Report, Financial Statements, and Consolidated Financial Statements.
   (2) Ratification of the 2025 Statement of Earnings Distribution.

The major items of the proposal for distribution of 2025 profits adopted to board of directors meeting are as follows:

It is proposed the Company to distribute cash dividend of NT$32,225,043 from the retained earnings at NT$0.3 per share, Distributed on April 30, 2026.

Shareholders may exercise their voting rights through Taiwan Depository and Clearing Corporation's STOCK VOTE platform (https://www.stockvote.com.tw) during the period from April 29, 2026, to May 26, 2026.
