Pursuant to Section 161 of the German Corporation Act, the Executive Board and the Supervisory Board of the DMG MORI AKTIENGESELLSCHAFT declare:

Since the last compliance statement of November 2015, DMG MORI AKTIENGESELLSCHAFT has complied with the recommendations of the "Government commission on German Corporate Governance Codex" in the Codex version of 5 May 2015 since its publishing in the German Federal Gazette on 12 June 2015 and will also comply with them in future.
