Ref: DLF Limited (Target Company) Sub: Filing of Disclosure under Regulation 10(5) SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011 ("Takeover Regulations")

Rajdhani Investments & Agencies Private Limited, a part of the promoter / promoter group of DLF Limited, proposes to acquire upto 1,67,50,000 equity shares constituting 0.9387% of the total paid up equity share capital of DLF Limited (Target Company) from Mr. Rajiv Singh, promoter of DLF Limited and Ms. Kavita Singh, a part of promoter group of DLF Limited on or before September 14, 2018, being an inter-se transfer of shares between members of the promoter group/persons acting in concert.

The said acquisition of equity shares is being undertaken by entities forming part of the promoter/promoter group of DLF Limited and are persons acting in concert, and accordingly, post acquisition, the promoter/promoter group shareholding will remain unchanged.

As a matter of abundant caution, we are filing the disclosure under Regulation 10(5) of the SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011 even though the proposed acquisition is less than 5% of the paid up equity share capital of DLF Limited.
