Re: Outcome of Board Meeting

This is inform you further to our letter dated 30^th January 2020 that the Board of Directors of the Company at its meeting held today i.e., on 5^th February 2020, has inter-alia, approved the following :-

• $i)$ Un-audited Financial Results (Consolidated as well as Standalone) for the quarter $\&$ nine months ended $31^st$ December 2019. A copy of the said results (Consolidated & Standalone along-with Limited Review Reports are enclosed herewith, in compliance with Regulations 33 and 30 of the SEBI (LODR) Regulations, 2015.
• $\mathbf{ii}$ Declaration of interim dividend $\omega$ Rs.1.20 per fully paid equity share of Rs.2/- each of the Company for the FY'2020.

The interim dividend on equity shares will be paid to those members of the Company whose names appear on the Register of Members and to the beneficial owners whose particulars would be furnished by the Depositories as on Record Date, i.e., Thursday, 13^th February 2020.

The interim dividend will be paid / dispatched to the shareholders on or before 3^rd March 2020.

The Board Meeting commenced at 16:30 hrs. and concluded at 21:55 hrs.
