Sub: Disclosure under Regulation 30 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015

We wish to inform that the Board of Directors at its meeting held today, i.e., May 29, 2026, has considered and approved the following:

Change in Directors and Key Managerial Personnel of the Company

1. Based on the recommendation of the Nomination and Remuneration Committee and subject to the approval of the shareholders of the Company, Appointment of Mr. Sameer Ahluwalia as Whole-time Director designated as Chief Executive Officer and Executive Director (Key Managerial Personnel) of the Company for a period of 3 (three) years, liable to retire by rotation, with effect from June 01, 2026.

In accordance with BSE circular Number LIST/COM/14/2018-19 and NSE circular no. NSE/CML/2018/24 dated June 20, 2018, it is confirmed that Mr. Sameer is not debarred from holding the office of director by virtue of any order of the Securities & Exchange Board of India or any other such authority.

1. Resignation of Mr. Gurmeet Singh Chahal from the position of Chief Executive Officer and Executive Director of the Company with effect from the close of business hours on May 31, 2026 for reasons as cited in the attached resignation letter. Consequent upon resignation, he will cease to be the member of the respective Committees of the Company. Further, Mr. Gurmeet will assist with the transition over the coming months.

The details as required under Regulation 30 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 (“Listing Regulations”) read with SEBI Master Circular HO/49/14/14(7)2025-CFD-POD2/I/3762/2026 dated January 30, 2026, is given as “Annexure A”.

Brief profile of Mr. Sameer Ahluwalia

Sameer Ahluwalia is a seasoned business leader with over two decades of experience in building, scaling, and transforming businesses across North America, the UK, EMEA, and India. He has extensive expertise in driving profitable growth, turnaround & restructuring, P&L management and digital & AI initiatives.

Sameer has held leadership positions with globally recognized organizations including Alvarez & Marsal, RPSG Group / Firstsource, HCL Technologies, Capgemini and GE. Across these firms, he has had significant experience in working with Boards, and stakeholders across varied governance structures including publicly listed multinational corporations, founder-led enterprises, promoter-driven groups, and advisory firms.

Most recently, he has been associated with Alvarez & Marsal as a Managing Director, where he focused on building a cross-border value creation and transformation practice catering to private equity sponsors, portfolio companies, and mid-market enterprises.

During his tenure with RPSG Group / Firstsource, as a Group President, he led the turnaround and transformation of a globally distributed BPM and B2B services organization operating across six countries with 8,000+ employees and 200+ clients. He successfully integrated multiple acquired entities, improved profitability, strengthened governance frameworks, and repositioned the organization towards domain- and technology-led services. At HCL Technologies, he was a founding leadership member of the global BFSI-BPO and platform business, where he helped scale businesses to US$200 million in revenue and managed large transformation and digital programs for global financial institutions. Sameer is a Six Sigma Black Belt professional and has been associated with the Forbes Business Development Council.
