In reference to your query vide e-mail dated 9[th] March, 2023, regarding signing of Financial Results for the Quarter and nine months period ended on 31[st] December, 2022 (“ Financial Results ”), please note that the said Financial Results were signed by Mr. Praveen Someshwar, Director of the Company, in compliance with the provisions of Regulation 33(2)(b) of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.

Please note that Mr. Priyavrat Bhartia, Chairman of the Company was granted leave of absence from the Board Meeting held on 9[th] February, 2023, in which the Financial Results were approved. In his absence, the Board by way of a resolution passed at the meeting, authorised Mr. Praveen Someshwar, Director, to sign the Financial Results. The certified true copy of the resolution passed by the Board is attached as Annexure A .

“RESOLVED THAT the draft Un-audited (Standalone and Consolidated) Financial Results of the Company for the quarter and nine months period ended on 31[st] December, 2022, in the format prescribed under Regulation 33 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (SEBI (LODR)), duly considered and reviewed by the Audit Committee, be and are hereby considered and approved.

RESOLVED FURTHER THAT Mr. Praveen Someshwar and Mr. Samudra Bhattacharya, Directors, be and are hereby severally authorized to sign the Un-audited (Standalone and Consolidated) Financial Results of the Company for the quarter and nine months period ended on 31[st] December, 2022 on behalf of the Board of Directors of the Company, and Mr. Ajay S. Nair, Chief Financial Officer and Mr. Arjit Gupta, Company Secretary, be and are hereby severally authorized to furnish the same to the Stock Exchanges and/or other authorities, as may be required; and publish the Un-audited (Standalone and Consolidated) Financial Results in newspapers, pursuant to Regulation 47 of SEBI LODR. ”
