GRANT OF VALIDATION ORDERS

This announcement is made by Differ Group Auto Limited (the “ Company ”) under Part XIVA of the Securities and Futures Ordinance (Chapter 571 of the Laws of Hong Kong) and pursuant to Rule 13.09 and Rule 13.25 of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited (the “ Listing Rules ”).

Reference is made to the announcement of the Company dated 20 June 2023 in relation to the petition (the “ Petition ”) for the winding-up of the Company filed by Ms. Peng Yulan (the “ Announcement ”). Capitalised but undefined terms and expressions used herein shall have the same meanings as those defined in the Announcement, unless the context requires otherwise.

The board of directors of the Company (the “ Board ”) announces that the Company had applied for and was granted validation order by the High Court on 9 August 2023 (with sealed order obtained on 17 August 2023) in respect of the Petition, ordering that notwithstanding the presentation of the Petition, all transfers of issued and fully paid up Shares since the respective dates of the Petition’s presentation shall not be void by virtue of section 182 of the Companies (Winding Up and Miscellaneous Provisions) Ordinance (Cap. 32).

Shareholders of the Company and potential investors should exercise caution when dealing in the securities of the Company.
