VOLUNTARY ANNOUNCEMENT BUSINESS UPDATE

This is a voluntary announcement made by Differ Group Holding Company Limited (the “ Company ”, together with its subsidiaries, the “ Group ”). The purpose of this announcement is to keep the shareholders and potential investors of the Company informed of the latest business developments of the Group.

Reference is made to the voluntary announcement of the Company dated 7 August 2021 and 31 August 2021 in relation to the Group’s acquisition of the entire equity interest of Fast Sunrise Limited, which through the contractual arrangement under the VIE Agreements, can enjoy the entire economic interests and benefits generated by Tianjin Free Trade Gancheng Taifeng Technology Company Limited (天津自貿乾程泰鋒科技有 限公司) (“ Gancheng Taifeng ”). Gancheng Taifeng carries out all its automobile e-commerce business under the brand of Cherries Car (車厘籽汽車) (“ Cherries Car ”), which provide comprehensive solutions and services to a wide range of customers ranging from car manufacturers, car dealers to retailing customers.

The Company continuously strives to develop the automobile e-commerce business and achieve satisfactory results at present. Based on the preliminary assessment of the operational data of Gancheng Taifeng, the unaudited operational data as of the end of the first quarter of 2022 are as follows:

• (1) the total number of auto dealer registered members of Gancheng Taifeng’s automobile e-commerce platform “Cherries Car” (“ Cherries Car Platform ”) as at 31 March 2022 was 4,016, of which 1,181 are paid registered members;

• (2) the SKU (stock keeping unit) of Cherries Car Platform as at 31 March 2022 was 29,658 units; and

• (3) the net profit of Gancheng Taifeng for the three months ended 31 March 2022 was approximately RMB9.3 million.
