COMPLETION OF MAJOR TRANSACTION IN RELATION TO THE DISPOSAL OF 51% EQUITY INTEREST IN FUJIAN CHINA OVERSEAS URBAN DEVELOPMENT CO., LTD*

Reference is made to the announcement of Differ Group Holding Company Limited (the “ Company ”) dated 12 November 2020 and the circular of the Company dated 11 December 2020 (the “ Circular ”). Unless otherwise defined herein, capitalized terms used in this announcement shall have the same meanings as those defined in the Circular.

The Board is pleased to announce that all the Disposal Conditions were fulfilled and the Completion of the Disposal took place on 31 December 2020 and the Sale Shares have been transferred to the nominee of the Purchaser.
