Roto Smeets Group announces management changes

In consultation with the Supervisory Board, Mr J.P. (John) Caris, Chairman of the Management Board, has decided to take early retirement with effect from 1 January 2011.

The Supervisory Board is very grateful to John for his constant dedication, with heart and soul, to the Group
during his service on the Management Board.

In view of the public bid that is being prepared by Printing Holding BV, the Supervisory Board asked its Chairman, Mr R.A.J. (Rudolf) Huyzer, to act as a delegated member. Mr. Huyzer will temporarily, together with Mr. Ir. B.J.W. (Bernard) van der Heijden, Member of the Management Board, fill in the duties of the CEO.

Roto Smeets Group expects that after the by Printing Holding BV on September 8, 2010 announced tender offer is completed, the final follow‐up
will be provided.

As Roto Smeets Group announced in the business update of 10 November 2010, because the bid document was published more than four months after closure of the first six month period and according to the Resolution on Public Offers, an accountant's statement must form part of the financial information provided for the current accounting year. The accountant's review is based on the figures up
to and including 30 September 2010 and is currently in preparation. Roto Smeets Group will publish interim results after the review has been finalized.
