INVITATION TO THE ELECTION OF BOARD OF DIRECTORS' MEMBERSHIP

The Board of Directors is pleased to inform the shareholders that nominations for the membership of the Board of Directors of the Company will start from Wednesday, 6 April 2022 to Friday, 15 April 2022. Every person / shareholder fulfilling the conditions of the nomination to the Board may nominate themselves by submitting an application to the Company at its main office located in Al Barsha 1 in the Emirate of Dubai. The application must enclose a brief resume of the applicant and the membership type he is nominating for (i.e. executive, non-executive or independent member).

General conditions:

1. Number of board members required to be elected is 9 board members. 2. Nomination for membership of the Board of Directors shall be open for a period of (10) days from the date of the announcement in accordance with the requirements of Article (9) of the SCA Board of Directors Decision No. (3/R.M) of 2020 concerning adopting the Corporate Governance Guide for Public Joint Stock Companies and its amendments.

2. A candidate for the board membership must satisfy the conditions stipulated in the Federal Law No (32) of 2021 concerning Commercial Companies and the SCA Board of Directors Decision No. (3/R.M) of 2020 concerning adopting the Corporate Governance Guide for Public Joint Stock Companies and its amendments., as well as the Articles of Association of the Company.

3. The nomination application shall enclose the documents referred to in Article (10) of the SCA Board of Directors Decision No. (3/RM) of 2020 and its amendments.

4. The candidate may not, after closing the nomination, relinquish his nomination to another person.

5. The company shall post the names of candidates and their information related to the nomination on the bulletin board in its main office and on its internet website (www.deyaar.com) on 21 April 2022.

6. The list of the names of candidates shall be provided to SCA after the nomination period is closed.
