NOMINATIONS FOR BOARD OF DIRECTORS’ MEMBERSHIP

The Board of Directors is pleased to inform the shareholders that the door for nominations for the membership of the Company's Board of Directors will be open from Thursday, 03/03/2016 to Thursday, 17/03/2016. Every person/ shareholder who meets the nomination conditions may run for the Board membership election by an application submitted to the company’s main office located in Al Barsha, Deyaar Building, 6th Floor, at the Emirate of Dubai. The application must enclose a brief resume of the applicant and the membership type he will be nominating for (Executive, Non-Executive or Independent Member).

General conditions:

1. Number of board members required to be elected are nine board members.

2. The door for nominations for the board membership shall remain opened for (15) days pursuant to the requirements of Article 12 of the Ministerial Decision No. 518 of 2009 concerning Governance Rules and Corporate Discipline Standards.

3. A candidate for the board membership must satisfy the conditions set in Federal Law No. 2 of 2015 concerning Commercial Companies, the Ministerial Decision 518 of 2009 concerning Governance Rules and Corporate Discipline Standards and the company’s article of association.

4. The company shall post the names of candidates and their information related to the nomination on its internet website (www.deyaar.ae) on 19/03/2016.

5. After nomination door is closed, the list of the names of candidates shall be provided to SCA.
