In connection with filing the final short form prospectus dated November 30, 2021, Deveron Corp. (the “ Company ”) hereby undertakes to file a copy of any unexecuted documents and material contracts, including but not limited to: (i) the trust indenture or supplemental indenture for any offering of Debt Securities; (ii) the Warrant Indenture for any offering of Warrants and Units; and (iii) the Subscription Receipt Agreement for any offering of Subscription Receipts, in accordance with sections 9.2(a)(xii) and (xii.1) of National Instrument 41-101 – General Prospectus Requirements , promptly and in any event no later than seven days after the execution of such agreements.
