Für den Inhalt der Mitteilung ist allein der Emittent verantwortlich. —————————————————————————— Deutsche Telekom Ad-hoc release in accordance with paragraph 15 of the Security Trading Act Bonn, Frankfurt, February 17, 2000 T-Online International AG and comdirect bank conclude agreement on cooperation and cross shareholding T-Online International AG and comdirect bank AG have concluded a basic agreement that will allow the two companies to cooperate closely and will include cross shareholding. The respective bodies of both parent companies, Deutsche Telekom AG and Commerzbank AG, have approved the Letter of Intent. The agreement allows for close cooperation between T-Online International and comdirect bank in various business areas. This cooperation is to be underscored by mutual shareholdings between the two companies. In addition, a T-Online representative will join the comdirect bank Supervisory Board and a Commerzbank representative the Supervisory Board of T-Online International. T-Online is to acquire a 25 percent stake in comdirect bank in the form of an equity swap. In return, Commerzbank or comdirect bank will acquire a corresponding absolute stake in T-Online International. Both shareholdings are based on the share capital of both companies prior to their respective planned IPOs. This close partnership will improve the growth prospects of both companies in this dynamic market. The partnership between both companies will not impede cooperation with other companies. Furthermore, this move will enable T-Online to generate additional earnings, increase shareholder value and, as a consequence, make its planned IPO even more attractive.
