The Supervisory Board decided to submit the following draft decisions for review at the AS DelfinGroup Annual
General Meeting on 1 June 2023:
- 1) Approval of the 2022 Annual Report.
- To approve AS DelfinGroup Annual Report for 2022.
- To approve AS DelfinGroup Consolidated Annual Report for 2022.
- To approve AS DelfinGroup Corporate Governance Report for 2022.
- To approve AS DelfinGroup Remuneration Report 2022.
- 2) Distribution of profits
- AS DelfinGroup 2022 profit of EUR 3, 752, 472 which has not been paid out in extraordinary dividends, should be transferred to retained earnings.
- 3) Issue of bonds
- To approve the issue of new AS DelfinGroup bonds up to EUR 60,000,000 (sixty million euros) with a repayment period of up to 5 (five) years.
- To authorize the Management Board of AS DelfinGroup to perform all necessary activities related to the issue of bonds of AS DelfinGroup and to develop, prepare and sign the bond issue regulations or prospectus and other documents, as well as to make and approve corrections, changes, and additions to the said documents as required.
- To authorize the Management Board of AS DelfinGroup to sign all necessary contracts with organizations and/or their structural units regarding the listing and trading of bonds, accounting of financial instruments, and other related documents, and represent AS DelfinGroup in organizations and/or their structural units as necessary.
