Dear Sir / Madam,
In compliance with Regulation 30 read with Para B of Schedule III of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 and in accordance with the Industry Standards Note mandated by SEBI vide Circular No. SEBI/HO/CFD/CFD-PoD-2/P/CIR/2025/25 dated 25th February, 2025, we hereby disclose the commencement of commercial production at the Company’s Seamless Pipe Manufacturing Plant. A. MATERIALITY ASSESSMENT Total Capital Expenditure incurred for the Seamless Pipe Manufacturing Plant: approximately ₹ 89.75 Crore. The materiality threshold under Regulation 30(4)(i)(c) — being the lower of (i) 2% of consolidated net worth, (ii) 2% of consolidated turnover, and (iii) 5% of the average absolute value of PAT for the preceding three financial years — has been assessed by management. Based on the Company’s latest audited consolidated financials, the applicable materiality threshold is ₹ 1.38 Crore. The capex of ₹ 89.74 Crore exceeds the applicable materiality threshold. B. EXPECTED FINANCIAL IMPACT The Company has already declared receipt of an Order of Rs. 58 Crores for seamless plant on 27th February 2026. This plant is expected to contribute incremental revenue from seamless pipes and tubes commencing Q1 FY 2026-27, supported by the Company’s existing customer relationships, order backlog, and integrated product portfolio. Progressive improvement in EBITDA margins and operational leverage is considered possible as capacity utilisation ramps up during the ensuing four quarters, subject to market demand, customer offtake, input cost conditions, and operational efficiencies at the new plant. Any immediate material impact on consolidated profit after tax is assessed as remote in the near term, given that the plant is in the initial ramp-up phase and full-capacity utilisation will be progressive over the four-quarter horizon. C. QUALITATIVE CONTEXT: The commissioning of this plant adds 7,000 MT per annum of seamless pipe manufacturing capacity, significantly strengthening the Company’s product portfolio and deepening backward integration.
