Sub: Disclosure under Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (“SEBI Listing Regulations”)

Dear Sir/Madam,

Pursuant to Regulation 30 of SEBI Listing Regulations, we would like to inform that Employees’ State Insurance Corporation (ESI), Ministry of Labour & Employment, Govt. of India have, vide their letter dated 09.08.2024, passed assessment order/ demand regarding recovery of Outstanding dues of Rs. 1,16,89,044/- (One crore sixteen lakh eighty-nine thousand forty-four rupees only) in connection with manpower supplied by M/s Unicorn Manpower Agency(“Unicorn/Employer”) to the Company.

The said amount is recoverable by the Company from M/s Unicorn Manpower Agency. The employer has failed to make payment of the aforesaid amount to ESI. Under section 40 of the ESI Act, 1948 (as amended), the Company being the principal employer is responsible and the said notice was served.

The Company is examining the order/notice as received and shall take appropriate steps including filing of appeal and other necessary applications.

The details as required under SEBI Listing Regulations read with Circular no. SEBI/HO/CFD/CFDPoD-1/P-CIR//2023/123 dated July 13, 2023 are enclosed as Annexure I .
