Company announcement no. 4/2023 Inside information: Dataproces updates the incentive program for the chairman of the board

The board has decided to adjust the chairman's warrant agreement, this is executed by using the board's authorization in the articles of association. 4.2. As in the previous agreement, warrants are awarded free of charge, and without any additional conditions attached to the award.

The warrant program runs over 3 years; 2024, 2025 and 2026. The program results in a maximum of 250,000 new shares being issued over the 3 years, corresponding to a nominal DKK 5,000 of the company's capital. The number may be smaller, as the agreement expires upon resignation from Dataproce's board.

The final warrant program is based on a weighted average price over 30 trading days of the quoted price of the Company up to and including 10 May 2023, which is calculated at DKK 2.15.

When subscribing for new shares through the warrant program's maturity periods, the newly subscribed shares will each time be subject to a 12-month lock-up period.

The authorization in the articles of association 4.2 is reduced in this connection to 4,712,212 warrants corresponding to a nominal value of DKK 94,244.24, and the company's articles of association will be updated accordingly.
