Company announcement no. 7/2022 - inside information: Dataproces expands incentive program for employees.

Dataproces has decided to issue warrants to employees for the purpose of retention and incentive tightening.

Dataproces' Board of Directors has today, in accordance with the authorization in the Articles of Association 4.2., Decided that employees be granted warrants in the company.

There will be entered into an individual agreement with each employee regarding the possibility of subscription within the framework of "share pay", cf. Ligningsloven § 7P with agreements over 1 year with maturation in the month of September 2023.

CEO, board of directors (excluding employee representatives) and employees on notice are not covered by the program. Employees pay DKK 0.02 in cash per share with a nominal value of DKK 0.02, which implies a favorable element of DKK 3.88 per share, calculated on the basis of the opening price on 13th of July 2022.

The warrant program is estimated to result in the issuance of a further approx. 150,000 new shares in September 2023 in addition to previously entered into warrant agreements with employees.

The final warrant program, and thus the favor element and number of new shares, will be based on the volume-weighted average price for the period 22nd of June - 22nd of July 2022.

Any unutilized warrants will either lapse or be included in a future warrant program.
