AGM Update – Withdrawal of Resolution
BRISBANE, Tuesday 31 October, 2023 : Australian business technology solutions leader Data[#] 3 Limited (ASX: DTL) today advises the withdrawal of Resolution 4 from the Notice of Annual General Meeting which was lodged with the ASX on 21 September, 2023.
Resolution 4 related to the “ Approval to issue Rights to a related party: Mr Laurence Baynham ”.
The company’s announcement of 30 October, 2023 advised that Mr Laurence Baynham is stepping down as MD/CEO. In light of this, the Board of Data[#] 3 has determined that it would be appropriate to not request shareholders’ approval for the issue of long term incentive rights to Mr Baynham, which in the normal course would have a vesting date in about August 2026.
The withdrawal of this item of business does not affect the validity of the proxy form attached to the 2023 Notice of Annual General Meeting or any proxy votes already submitted in respect of the remaining resolutions to be put to shareholders for approval.
