我们接受委托，审验了中船钢构工程股份有限公司（以下简称“贵公司” 截至 2 0 16 年 11 月 2 9 日止新增注册资本的实收情况。按照法律法规以及协议、章程的要求出资，提 供真实、合法、完整的验资资料，保护资产的安全、完整是全体股东及贵公司的责任。我 们的责任是对贵公司新增注册资本的实收情况发表审验意见。我们的审验是依据《中国注 册会计师审计准则第 16 0 2 号 - 验资》进行的。在审验过程中，我们结合贵公司的实际情 况，实施了检查等必要的审验程序。

贵公司本次变更前注册资本（股本 为人民币 615 , 3 55 , 65 7元，根据贵公司 2 0 16 年 第一次、第二次临时股东大会决议和中国证监会《关于核准中船钢构工程股份有限公司向 中国船舶工业集团公司等发行股份购买资产并募集配套资金的批复》（证监许可 [2 0 16] 2125 号 ，贵公司以询价方式向特定对象募集配套资金非公开发行人民币普通股（ A 股 12 0,894, 226 股，每股面值人民币 1 元。贵公司申请增加注册资本（股本 人民币 12 0, 894, 226 元，变更后的注册资本（股本 为人民币73 6 , 2 49, 883元。

根据我们的审验，截至 2 0 16 年 1 1 月 2 9 日止，贵公司实际己发行普通股（ A 股 12 0,894, 226 股，每股发行价格为人民币 1 3 . 5 8 元，募集资金总额为人民币 1 , 6 4 1 ,743, 5 89 . 08元，扣除承销费用人民币 21 , 5 0 6 ,84 1. 0 1 元后余额为人民币 1 ， 62 0, 2 3 6 , 748 . 0 7 元，扣除尚需支付独立财务费用人民币7, 000,000 . 00 元后，实际募集 资金净额为人民币 1 ， 61 3, 2 3 6 , 748 . 07元，其中：增加注册资本（股本 人民币 12 0,894, 226 元，余额人民币 1 ，49 2 , 34 2 , 522. 0 7 元转入资本公积。

一、变更前公司基本情况

中船钢构工程股份有限公司（原公司名称为中船江南重工股份有限公司 ，于 1 997 年 5 月 2 8 日经中华人民共和国国家经济体制改革委员会以体改生 [1 997 ] 30号文件批准， 由江南造船（集团 有限责任公司（以下简称江南造船集团 作为独家发起人，采用募 集方式设立的股份有限公司，公司设立时总股本为人民币 1 3 2 , 0 1 0, 000 . 0 0 元。

1 997年 6 月3 日公司在上海证券交易所挂牌上市，几经配股、派送红股和资本公积 转股，公司注册资本从成立时 1 3 2 , 0 1 0, 000 . 0 0 元变更为478, 4 2 9, 5 8 6. 0 0 元。

2 0 16 年 1 0 月，钢构工程向中国船舶工业集团公司发行 1 3 5 ,47 1 , 11 3股股份、向常 熟市梅李聚沙文化旅游发展有限公司发行 1 ,4 5 4, 9 5 8股股份购买相关资产，股本变更为 615 , 3 55 , 65 7元，截至目前尚未办理工商变更登记。

二、本次申请增加的注册资本及审批情况

根据贵公司 2 0 16 年第一次、第二次临时股东大会决议和中国证监会《关于核准中船 钢构工程股份有限公司向中国船舶工业集团公司等发行股份购买资产并募集配套资金的 批复》（证监许可 [2 0 16] 2125 号 ，贵公司向8 名特定投资者非公开发行人民币普通 股（ A 股 ）12 0,894, 226 股，每股面值 1 元。贵公司申请增加注册资本（股本 人民币 12 0, 894, 226 元，变更后的注册资本（股本 为人民币73 6 , 2 49, 883元。
