四川环能德美科技股份有限公司：

我们接受委托，对长城证券股份有限公司组织实施的贵公司本次非公开发行股票认购资金总额的 真实性和合法性进行验证。在验证过程中，我们按照《中国注册会计师审计准则第1602号－验资》的 有关要求，实施了包括对银行汇款凭据的核查等必要的验证程序。贵公司的责任是提供真实、合法、 完整的验证资料，我们的责任是出具真实、合法的验证报告。

根据中国证券监督管理委员会2016年11月16日印发的《关于核准四川环能德美科技股份有限公司 向李华等发行股份购买资产并募集配套资金的批复》（证监许可[2016]2685号），四川环能德美科技 股份有限公司经核准非公开发行股份募集配套资金不超过174,216,500.00元。根据发行对象申购报价 情况及《四川环能德美科技股份有限公司发行股份及支付现金购买资产并募集配套资金之非公开发行 股票认购邀请书》所规定的程序和规则，确定本次非公开发行股票的发行数量为5,439,166股，发行价 格为人民币32.03元/股，对应的募集资金金额为174,216,486.98元。

经过我们验证，截至2016年12月26日16点00分止，长城证券股份有限公司收到贵公司本次非公开 发行股票认购对象缴纳的认购资金金额为人民币194,216,486.98元，退还未获得配售的认购对象所缴 纳的认购保证金金额为人民币20,000,000.00元，长城证券股份有限公司实际收到贵公司本次非公开发 行股票的认购资金总额为人民币174,216,486.98元（大写：人民币壹亿柒仟肆佰贰拾壹万陆仟肆佰捌 拾陆元玖角捌分），上述资金已全部缴存于长城证券股份有限公司在兴业银行股份有限公司深圳分行 营业部开设的人民币账户（账号：338010100100011816）。

本报告是对长城证券股份有限公司实际收到的贵公司本次非公开发行股票的认购资金总额的验 证，仅供长城证券股份有限公司组织实施贵公司本次非公开发行股票使用，因使用不当造成的后果与 执行本验证业务的注册会计师及会计师事务所无关。
