ITEM 1.01 — ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT.

On June 18, 2021, Crown Castle International Corp., a Delaware corporation (“Borrower”), entered into Amendment No. 6 (“Amendment”) among the Borrower, the lenders and issuing banks party thereto and JPMorgan Chase Bank, N.A. (“JPM”), as administrative agent, to the Credit Agreement dated as of January 21, 2016 (as amended, supplemented or otherwise modified, the “Credit Agreement”), by and among the Borrower, the lenders and issuing banks from time to time party thereto and JPM, as administrative agent.

The Amendment provides for, among other things, (a) the extension of the maturity date, from June 21, 2024 to June 18, 2026 (“Extension”), of the Borrower’s existing revolving credit facility (“Existing Revolving Credit Facility”) and existing term loan facility, each as provided under the Credit Agreement, (b) reductions to the interest rate spread and unused commitment fee percentage upon meeting specified annual sustainability targets and increases to the interest rate spread and unused commitment fee percentage upon the failure to meet specified annual sustainability thresholds, (c) an increase of the sublimit for issuing letters of credit under the Existing Revolving Credit Facility from $50,000,000 to $100,000,000 and (d) the inclusion of “hardwired” LIBOR transition provisions consistent with those published by the Alternative Reference Rates Committee.

On June 18, 2021, the Borrower issued a press release announcing the effectiveness of the Amendment. The June 18, 2021 press release is attached hereto as Exhibit 99.1 and incorporated herein by reference.
