LOYALTY OPTIONS OFFER RESULTS

Critical Resources Limited ('Critical Resources' or the 'Company', ASX:CRR) advises that its non-renounceable pro-rata entitlement offer of one (1) CRRAC option (Loyalty Option) for every ten (10) existing Shares held at the Record Date, at an issue price of $0.001 per Loyalty Option (Offer) closed at 5.00 pm (AWST) on Friday, 22 May 2026. Each Loyalty Option entitles the holder to subscribe for one fully paid ordinary share at $0.008, exercisable at any time on or before 23 April 2028.

The Company advises that it has received valid applications from Eligible Shareholders for 187,201,898 Loyalty Options, raising $187,201.90 (before costs). This resulted in a shortfall of 132,207,650 Loyalty Options, representing $132,207.65 (before costs), which the Company will seek to allocate under the Shortfall Offer at the Board's discretion in accordance with the allocation policy set out in the Prospectus.

The Loyalty Options, the subject of valid applications under the Entitlement Offer will be issued today 29 May 2026. The Company is confident of receiving applications for the full number of the Shortfall Options under the Shortfall Offer and expects to issue the Shortfall Options on Tuesday, 2 June 2026.

Subject to compliance with the requirements of ASX and the Listing Rules, the Loyalty Options, Shortfall Options and existing CRRAC Options will be quoted under the ASX code CRRO.
