CAPITAL RAISING COMPLETION AND CLEANSING STATEMENT

Critical Resources Limited (‘ Critical Resources’ or the ‘ Company ’, ASX : CRR ) announces that Tranche 2 of the Placement announced on 29 January 2026 has settled raising $250,000 (before costs), via the issue of 25,000,000 new fully paid ordinary shares, together with 6,250,000 attaching unlisted options (exe $0.008, exp 23/04/28).

As previously announced, the Placement was being undertaken in two tranches, with the second tranche of 25,000,000 shares, with attaching 6,250,000 options, to Directors to raise $250,000 (before costs), to be issued subject to shareholder approval, which was obtained on 20 March 2026. Please refer to the announcement dated 29 January 2026 for further details.

Notice given under section 708a(5) of the Corporations Act

This notice is given by Critical Resources Limited (“CRR” or “the Company”) under section 708A(5)(e) of the Corporations Act 2001 (Cth) (“Act”).

On 1 April 2026, the Company issued 25,000,000 fully paid ordinary shares without disclosure under Part 6D.2 of the Act.

In accordance with Section 708A(5)(e) of the Act, the Company hereby gives notice that:

• (a) the Shares were issued without disclosure to investors under Part 6D.2 of the Act;

• (b) as at the date of this notice, the Company has complied with:

  • (i) the provisions of Chapter 2M of the Act as they apply to the Company; and

  • (ii) section 674 and 674A of the Act; and

• (c) as at the date of this notice, there is no information which is “excluded information” requiring disclosure for the purposes of sections 708A(7) and 708A(8) of the Act.

This announcement has been approved for release by the Board of Directors of Critical Resources.
