Share capital increase resolved in connection with employee share incentive program
Oslo, Norway: The board of directors of Crayon Group Holding ASA (the "Company") has on January 19, 2023, registered in the Norwegian Register of Business Enterprises to increase the Company's share capital in connection with issuance of 115,576 new shares in relation to the share incentive program for employees in the Company.
The new shares shall be subscribed by employees of the Company and its subsidiaries under the approved share incentive schemes. The subscription price per share is NOK 1.00 for 115,576. Total subscription amount is NOK 115,576.
The board's resolution to issue new shares in connection with the share incentive program is made pursuant to an authorization granted by the Company's Annual General Meeting on May 20, 2022, to increase the Company's share capital in connection with, inter alia, a share program for all employees.
In aggregate, the Company's share capital is resolved increased by NOK 115,576 by issuance of 115,576 new shares in the Company, each with a nominal value of NOK 1. The Company's new resolved share capital following the board's resolution is NOK 89,401,344 (89,401,344 shares).
