Share Capital Increase Resolved and New Share Capital Registered in Connection with Employee Share Incentive Program
Oslo, September 27, 2023: The board of directors of Crayon Group Holding ASA (the "Company") has on September 25, 2023, registered in the Norwegian Register of Business Enterprises an increase of the Company's share capital in connection with issuance of 173,580 new shares in relation to the share incentive programs for employees in the Company.
The new shares have been subscribed by employees of the Company and its subsidiaries under the approved share incentive and share option schemes. The subscription price per share is NOK 1.00 for 116,163 shares and 53.60 for 57,417 shares. Total subscription amount is NOK 3,193,714.20.
The board's resolution to issue new shares in connection with the share incentive and share option programs is made pursuant to an authorization granted by the Company's Annual General Meeting on April 26, 2023, to increase the Company's share capital in connection with, inter alia, a share program for all employees.
In aggregate, the Company's share capital is resolved increased by NOK 173,580 by issuance of 173,580 new shares in the Company, each with a nominal value of NOK 1.
The Company's new registered share capital following the board's resolution is NOK 89,574,924 divided into 89,574,924 shares, each with a par value of NOK 1.00.
