Share capital increase resolved in connection with employee share incentive program
Oslo, 1 December 2021: The board of directors of Crayon Group Holding ASA (the "Company") has on December 1 2021 resolved to increase the Company's share capital in connection with issuance of 408,123 new shares in relation to the share incentive program for employees in the Company. 333,123 of the shares relates to bonus shares from the the general employee share purchase program executed in November 2019, while the remaining 75,000 shares relates to exercise of options issued as part of the IPO in November 2017.
The new shares shall be subscribed by employees of the Company and its subsidiaries under the approved share incentive schemes. The subscription price per share is NOK 1.00 for 333,123 of the shares and NOK 15.50 for 75,000 of the shares. Total subscription amount is NOK 1,495,623.
The board's resolution to issue new shares in connection with the share incentive program is made pursuant to an authorization granted by the Company's Extraordinary General Meeting on 23 November 2021 to increase the Company's share capital in connection with, inter alia, a share program for all employees.
In aggregate, the Company's share capital is resolved increased by NOK 408,123 by issuance of 408,123 new shares in the Company, each with a nominal value of NOK 1. The Company's new resolved share capital following the board's resolution is NOK 88,071,987 divided on 88,071,987 shares, each with a nominal value of NOK 1.
