CRAYON GROUP HOLDING ASA – DISCLOSURE OF LARGE SHAREHOLDINGS

OEP ITS Holding B.V., a company owned 68.2824% by OEP ITS Coöperatief Holding U.A. (“OEP”) and 31.7176% by Axion Holding Cyprus Limited (“Axion”), which currently is the holder of 15,700,307 shares in Crayon Group Holding ASA (“Crayon” or the "Company"), representing 18.7% of the Company's share capital and voting rights, has resolved to (i) transfer OEP’s pro rata proportion of shares in the Company directly to OEP; and (ii) repay and cancel OEP’s shares in OEP ITS Holding B.V. Following completion of the transaction, which is expected to occur on or about 19 August 2021, the new holders of shares in Crayon will be as follows:

• OEP ITS Holding B.V., which will be owned 100% by Axion following completion of the transaction, will hold 4,979,761 shares in Crayon, representing approximately 5.9% of the shares and votes in Crayon. OEP ITS Holding B.V. will change its name to Axion BidCo Holding B.V. to reflect the new ownership; and

• 10,720,546 shares in Crayon will be transferred to OEP. As such, OEP, a company wholly-owned by funds managed and/ or advised by OEP Capital Advisors, L.P., will hold 10,720,546 shares in Crayon, representing approximately 12.8% of the shares and votes in Crayon.

Other than as set out above, no shares, rights to shares or voting rights in the Company are held by OEP, Axion or their respective related persons subject to common control. The shares will remain subject to the lock-up as described in the stock market announcement of 30 June 2021.
