Axion Cyprus Holding Limited has on 17 August 2018 agreed to contribute 7,644,039 shares in Crayon Group Holding ASA (the "Company") to OEP ITS Holding B.V., a company jointly owned by funds managed and advised by OEP Capital Advisors, L.P. and Axion Cyprus Holding Limited.

Following completion of this transaction, OEP ITS Holding B.V. will own 7,644,039 shares in the Company, representing approximately 10.14% of the total number of shares and votes in the Company, while Axion Cyprus Holding Limited will own zero shares in the Company.
