CRAYON GROUP HOLDING ASA: KEY INFORMATION RELATING TO FULL REDEMPTION OF BOND LOAN
Reference is made to the announcement made by Crayon Group Holding ASA ("Crayon", the "Company") on 18 June 2025 where the Company indicated its intention to call its Senior Unsecured Open Callable Bond Issue 2024/2028 (CRAYN05) with ISIN NO 0013187989 (the "Bonds"). Reference is further made to the Company's announcement made earlier today regarding the completion of SoftwareOne Holding AG's ("SoftwareOne") recommended voluntary offer for all shares in the Company.
The Company has today notified Nordic Trustee AS that it will exercise the call option to redeem all outstanding bonds under the Bonds. The original maturity date of the Bonds was 8 April 2028.
The entire bond issue will be repaid at a price equal to the Make Whole Amount (the "Redemption Amount"), plus accrued but unpaid interest on the Redemption Amount and with repayment scheduled for 16 July 2025. The estimated record date for the call option is 14 July 2025.
The exercise of the call option is conditional upon the Company's receipt of the Redemption Amount in NOK from SoftwareOne, on or before 11 July 2025.
