SHARE ALLOTMENT

Coppermoly Ltd ( Coppermoly or the Company ) is pleased to announce that, following approval by Coppermoly Shareholders at the Company’s recent AGM held on 24 November 2017, we have issued Coppermoly shares to our Directors for the accrued but previously unpaid Directors’ fees to 31 March 2017 (see the AGM Notice released to the market on 26 October 2017 for full details).

An Appendix 3B for this issue of securities is attached to this announcement.

SECTION 708A CORPORATIONS ACT CLEANSING STATEMENT

Coppermoly provides the following Cleansing Notice under Section 708A of the Corporations Act 2001 (Cth) ( Act ) in relation to the allotment of 10,510,349 new fully paid ordinary shares in Coppermoly ( Shares ) to Coppermoly Directors as detailed in the ASX announcement mentioned above and as in the attached Appendix 3B.

In accordance with the requirements of section 708A (5)(e) of the Act, under which this notice is given, the Company confirms that:

  1. As a disclosing entity, the Company is subject to regular reporting and disclosure obligations;

  2. The shares issued are in the same class of ordinary shares as are quoted on the ASX;

  3. The Company issued the shares without the disclosure to investors under Part 6D.2 of the Act, and that notification is being given under 708A (5)(e) of the Act;

  4. As at the date of this notice:

  5. a) the Company has complied with the provisions of Chapter 2M of the Act as they apply to the Company, and

  6. b) the Company has complied with section 674 of the Act; and

  7. As at the date of this notice there is no excluded information (as that expression is defined in sections 708A(7) and 708(8) of the Act) in relation to the Company.

Quotation agreement

  1. +Quotation of our additional +securities is in ASX’s absolute discretion. ASX may quote the +securities on any conditions it decides.

  2. We warrant the following to ASX.

  3. The issue of the +securities to be quoted complies with the law and is not for an illegal purpose.

  4. There is no reason why those +securities should not be granted +quotation.

  5. An offer of the +securities for sale within 12 months after their issue will not require disclosure under section 707(3) or section 1012C(6) of the Corporations Act.
