NOTICE OF CHANGE IN CORPORATE STRUCTURE
Pursuant to Section 4.9 of National Instrument 51-102 Continuous Disclosure Obligations
1. NAME OF THE PARTIES TO THE TRANSACTION
Copper North Mining Corp. (" CNM ") Granite Creek Copper Ltd. (" GCC ")
2. DESCRIPTION OF THE TRANSACTION
On November 27, 2020, GCC acquired all of the issued and outstanding common shares of CNM (the " CNM Shares ") it did not already own pursuant to an arrangement agreement between GCC and CNM dated August 31, 2020 and a court-approved plan of arrangement (the " Arrangement ") under the Business Corporations Act (British Columbia).
Pursuant to the Arrangement, GCC acquired the CNM Shares it did not already own at an exchange ratio of 0.40 of a common share of GCC (a " GCC Share ") for each CNM Share.

3. EFFECTIVE DATE OF THE TRANSACTION
November 27, 2020
4. NAMES OF EACH PARTY THAT CEASED TO BE A REPORTING ISSUER AFTER THE TRANSACTION AND OF EACH CONTINUING ENTITY
The CNM Shares were delisted from the TSX Venture Exchange on November 30, 2020 and CNM has ceased to be a reporting issuer in British Columbia, Alberta, Saskatchewan, Manitoba, Quebec, New Brunswick, Nova Scotia, Prince Edward Island, Newfoundland, North West Territories and Yukon.

GCC is a reporting issuer in British Columbia and Alberta and due to the Arrangement, GCC is now also a reporting issuer in Saskatchewan, Manitoba, Quebec, New Brunswick, Nova Scotia, Prince Edward Island, Newfoundland, North West Territories and Yukon.
5. DATE OF REPORTING ISSUER'S FIRST FINANCIAL YEAR END AFTER THE TRANSACTION
May 31, 2021 (the financial year end date for GCC)
