(v/v: Giải trình biến động lợi nhuận sau thuế của Báo cáo tài chính giữa niên độ đã được soát xét năm 2025)

• Căn cứ Thông tư 96/2020/TT-BTC ngày 16 tháng 11 năm 2020 của Bộ Tài chính về công bố thông tin trên thị trường chứng khoán; và
• Căn cứ kết quả hoạt động sản xuất kinh doanh 6 tháng đầu năm 2025 và so với cùng kỳ năm 2024 của Công ty Cổ phần TCO Holdings và các công ty con (“Nhóm Công ty”).

Công ty Cổ phần TCO Holdings (“Công ty”) xin giải trình biến động lợi nhuận sau thuế TNDN như sau:

I. Giải trình biến động lợi nhuận trên Báo cáo tài chính riêng:

Lợi nhuận sau thuế TNDN 6 tháng đầu năm 2025 tăng 11 tỷ (tương đương 3.892%) so với cùng kỳ năm trước chủ yếu đến từ lợi nhuận hoạt động tài chính. Cụ thể:

• Lợi nhuận gộp từ hoạt động kinh doanh 6 tháng đầu năm 2025 tăng 3,3 tỷ so với cùng kỳ chủ yếu đến từ doanh thu hoạt động kinh doanh gạo (cùng kỳ năm ngoái chưa phát sinh);
• Doanh thu tài chính 6 tháng đầu năm 2025 tăng 16,2 tỷ so với cùng kỳ chủ yếu đến từ cổ lực được chia từ các công ty con (cùng kỳ năm ngoái công ty đang trong quá trình tái cấu trúc);
• Chi phí tài chính năm 6 tháng đầu năm 2025 tăng 8,5 tỷ so với cùng kỳ chủ yếu do lãi vay để mua lại 100% phần vốn góp của Công ty TNHH Đầu tư Enterprise;
• Chi phí quản lý doanh nghiệp tăng 3,0 tỷ do phát sinh các chi phí tư vấn phát hành, chi phí kiểm toán, định giá.

II. Giải trình biến động lợi nhuận trên Báo cáo tài chính hợp nhất:

Kết quả kinh doanh 6 tháng đầu năm 2025, Nhóm Công ty ghi nhận lợi nhuận sau thuế đạt gần 36,8 tỷ tăng hơn 26 tỷ so với cùng kỳ năm trước do các nguyên nhân chủ yếu sau:

• Lợi nhuận gộp từ hoạt động sản xuất kinh doanh tăng 1,8 tỷ so với cùng kỳ

• Doanh thu tài chính tăng 35,8 tỷ chủ yếu nhờ lãi từ hoạt động thoái vốn Nam An.
• Chi phí hoạt động tài chính tăng gần 6,8 tỷ chủ yếu đến từ chi phí lãi vay phát sinh khi mua Enterprise.
• Chi phí thuế tăng gần 4.4 tỷ so với cùng kỳ.

• Pursuant to Circular No. 96/2020/TT-BTC dated November 16, 2020, of the Ministry of Finance on the disclosure of information in the securities market; and
• Based on the production and business results for the first six months of 2025 and compared to the same period in 2024 of TCO Holdings Joint Stock Company and its subsidiaries (“Group of Companies”)

TCO Holdings Joint Stock Company (“the Company”) explains the fluctuation in profit after corporate income tax as follows:

I. Explanation of profit fluctuations in the separate financial statements:

Profit after tax for the first six months of 2025 increased by VND 11 billion (equivalent to 3,892%) compared to the same period last year, mainly due to financial operating profit. Specifically:

• Gross profit from sale of goods in the first six months of 2025 increased by VND 3.3 billion compared to the same period last year, mainly due to revenue from rice business activities (which did not occur in the same period last year);
• Financial income in the first six months of 2025 increased by VND 16.2 billion compared to the same period last year, mainly from dividends distributed by subsidiaries (the company was undergoing restructuring during the same period last year).
• Financial expenses for the first six months 2025 increased by VND 8.5 billion compared to the same period last year, mainly due to interest on loans to acquire 100% of the capital contribution of Enterprise Investment Co., Ltd.;
• Administrative expenses increased by VND 3.0 billion due to the occurrence of issuance advisory fees, audit fees, and valuation fees.

II. Explanation of profit fluctuations in the consolidated financial statements:

In the first six months of 2025, the Group recorded a profit after tax of nearly VND 36.8 billion, an increase of more than VND 26 billion over the same period last year, mainly due to the following reasons:

• Gross profit from production and business activities increased by VND 1.8 billion over the same period
• Financial revenue increased by VND 35.8 billion, mainly due to profits from the divestment of Nam An.
• Financial operating expenses increased by nearly VND 6.8 billion, mainly due to interest expenses incurred when purchasing Enterprise.
• Tax expenses increased by nearly VND 4.4 billion compared to the same period.
