Trước hết, Công ty cổ phần Hacisco xin chân thành cảm ơn sự quan tâm và giúp đỡ của Ủy Ban Chứng khoán Nhà nước, Sở Giao dịch Chứng khoán Thành phố Hồ Chí Minh trong thời gian qua và mong muốn tiếp tục nhận được sự quan tâm, giúp đỡ của các Quý cơ quan trong thời gian tới.

Thực hiện theo quy định tại thông tư 96/2020/TT-BTC ngày 16/11/2020 của Bộ Tài chính hướng dẫn về công bố thông tin trên thị trường chứng khoán. Công ty chúng tôi xin được giải trình lợi nhuận sau thuế trên Báo cáo tài chính kiểm toán soát xét 6 tháng đầu năm 2025 thay đổi từ 10% trở lên so với cùng kỳ năm trước, lợi nhuận sau thuế trong kỳ báo cáo bị lỗ ở kỳ này, như sau:

Nguyên nhân:

• Doanh thu thuần tại Báo cáo riêng và Báo cáo Hợp nhất được kiểm toán soát xét 6 tháng đầu năm 2025 giảm so với cùng kỳ năm 2024: Do trong 6 tháng đầu năm 2025 Công ty chưa ký xác nhận được hồ sơ thanh, quyết toán khối lượng hoàn thành với các đơn vị Chủ đầu tư vì đặc thù của ngành xây dựng thường các công tác này tập trung vào 6 tháng cuối năm.

• Tuy Doanh thu thuần giảm nhưng Lợi nhuận sau thuế 6 tháng đầu năm 2025 tăng hơn so với cùng kỳ năm 2024 do các nguyên nhân sau:

• Tỷ trọng giá vốn hàng bán trên doanh thu thuần 6 tháng đầu năm 2025 là 71% (theo Báo cáo riêng), 73,8% (theo Báo cáo hợp nhất), so với cùng kỳ năm 2024 là 97,4% (theo Báo cáo riêng), 96,4% (theo Báo cáo hợp nhất) cho thấy việc quản lý các khoản chi phí trong giá vốn của Công ty đã cải thiện đáng kể;

• Tỷ trọng chi phí quản lý doanh nghiệp trên doanh thu thuần 6 tháng đầu năm 2025 vẫn còn cao (do doanh thu chưa cao). Tuy nhiên, so với cùng kỳ năm trước, khoản chi phí này giảm hơn 2 tỷ, tương đương giảm trên 34%, cho thấy Công ty đã thực hiện việc siết chặt chi phí quản lý doanh nghiệp;

• Chi phí khác 6 tháng đầu năm 2025 giảm sâu, so với cùng kỳ năm trước, chi phí khác giảm hơn 1 tỷ.

Pursuant to the provisions of Circular 96/2020/TT-BTC dated November 16, 2020 of the Ministry of Finance guiding the disclosure of information on the stock market. Our company would like to explain that the after-tax profit on the audited financial statements for the first 6 months of 2025 has changed by 10% or more compared to the same period last year, the after-tax profit in the reporting period is a loss in this period, as follows::

Reasons:

• Net revenue in the audited Separate Report and Consolidated Report for the first 6 months of 2025 decreased compared to the same period in 2024: Because in the first 6 months of 2025, the Company has not signed the confirmation of the payment and settlement documents for completed volume with the Investor units because of the characteristics of the construction industry, these tasks are often concentrated in the last 6 months of the year.

• Although Net Revenue decreased, Profit after tax in the first 6 months of 2025 increased compared to the same period in 2024 due to the following reasons:

• The ratio of cost of goods sold to net revenue in the first 6 months of 2025 was 71% (according to the Separate Report), 73.8% (according to the Consolidated Report), compared to the same period in 2024 was 97.4% (according to the Separate Report), 96.4% (according to the Consolidated Report), showing that the management of expenses in the Company's cost of goods sold has improved significantly;

• The ratio of business management costs to net revenue in the first 6 months of 2025 is still high (due to low revenue). However, compared to the same period last year, this cost decreased by more than 2 billion, equivalent to a decrease of more than 34%, showing that the Company has tightened business management costs;

• Other expenses in the first 6 months of 2025 decreased sharply, compared to the same period last year, other expenses decreased by more than 1 billion.
